Terms of Service

Version 2 · Effective date: 20 October 2026

1. Agreement and eligibility

These Terms of Service ("Terms") are a binding agreement between you and BANHKHO5A LLC ("SlugSplit," "we," "us"). They govern your use of the SlugSplit website, software, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Section 13 contains a binding arbitration agreement and class-action waiver. Please read it.

Eligibility. You must be at least 18 years old, a resident of the United States, and legally able to enter a contract. You may use the Service only with brokerage accounts that are held in your own name or that you are legally authorized to control.

Your account. You are responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly at support@slugsplit.com if you believe your account has been accessed without permission. One person may not share an account, and you may not create an account on someone else's behalf.

2. What SlugSplit does

SlugSplit is order-replication software. When you place an order through SlugSplit, the Service sends that same order, as you configured it, to each brokerage account you have connected and selected. These are real orders in live markets, using your real money.

You make every trading decision. SlugSplit does not place, schedule, or modify any order on its own. Every order requires a deliberate action by you (such as clicking a confirmation button) at the moment it is sent. The Service currently has no autopilot, standing instructions, or conditional triggers, and we will not add them without updating these Terms.

What SlugSplit shows you. The Service may display publicly available information, such as announced reverse stock splits, effective dates, split ratios, and estimates of how a broker's fractional-share rounding might apply to a position. This information is general, is not tailored to you, and may be incomplete, delayed, or wrong. Always verify it against the issuer's filings and your broker.

3. What SlugSplit is not

Not a broker-dealer. We do not hold your funds or securities, execute trades as principal or agent, or route orders except as directed by you through your broker's own systems.

Not an investment adviser. We do not provide personalized investment, tax, legal, or accounting advice. Nothing in the Service is a recommendation to buy or sell any security.

Not a guarantee. We make no promise that any trade will be profitable, that any broker will round fractional shares up, or that any corporate action will occur as announced.

You are solely responsible for deciding whether a trade is suitable for you. Consult a licensed professional if you need advice.

4. Broker Connections

Authorization. To use the Service, you connect brokerage accounts through your broker's authorization process (such as OAuth) or an approved third-party connector. You authorize SlugSplit to read account information and to submit orders that you initiate. You can revoke this access at any time from your broker or from SlugSplit.

Your accounts only. You represent that every connected account is yours or that you have written legal authority to trade it. You may not connect accounts belonging to friends, family members, clients, or anyone else unless you hold that authority.

Your broker's rules apply. Each broker has its own terms, including limits on multiple accounts, fractional-share handling, cash-in-lieu, and use of third-party software. You are responsible for knowing and following those terms. A broker may restrict, close, or reverse activity in your account, and we are not responsible for its decisions.

Third-party services. Brokers and connectors are independent companies that we do not control. We are not responsible for their outages, delays, rejected orders, data errors, or changes to their APIs. If a connection fails partway through a send, some accounts may receive an order while others do not. Always confirm results in each brokerage account.

Credentials. Your broker connection details (such as access tokens or API keys) are stored only on your own device. They are not sent to or stored on SlugSplit's servers, so we cannot see, recover, or revoke them. You are responsible for securing the device you run SlugSplit on. Anyone with access to it may be able to send orders from your connected accounts. If you lose the device or reinstall SlugSplit, you will need to reconnect your accounts, and you should revoke the old access from your broker.

5. Risks you accept

Trading securities involves risk of loss, including loss of more than you expect. Reverse split strategies carry specific risks, including:

  • Rounding is not guaranteed. Issuers and brokers can pay cash in lieu of fractional shares, change their policies without notice, or treat accounts differently.
  • Corporate actions change. Splits can be delayed, cancelled, or restructured, and announced terms can be wrong.
  • Price risk. Stocks undergoing reverse splits are often volatile and thinly traded. Price drops can exceed any rounding gain.
  • Costs. Fees, spreads, transfer charges, and slippage across many accounts can erase small gains.
  • Account actions. Brokers may limit, restrict, or close accounts they view as abusing their policies.
  • Taxes. Many small trades can create complex tax reporting, including wash-sale issues. You are responsible for your taxes.
  • Technology. Internet, broker, or SlugSplit outages can cause orders to fail, duplicate, or partially complete.

You agree that you understand these risks and that any loss is yours alone.

6. Fees, billing, and cancellation

Subscription. Pricing for paid plans has not been set yet. We will announce it before paid plans begin (see Section 6A), and the current price and billing period are always shown before you pay. Fees are billed in advance. Your subscription renews automatically at the end of each billing period until you cancel.

Cancellation. You can cancel at any time from your account settings or by emailing support@slugsplit.com. Cancellation takes effect at the end of your current billing period, and you keep access until then.

Refunds. Fees are non-refundable, and we do not issue refunds or credits for partial billing periods, unused time, or trading results. This does not limit any refund you are entitled to under applicable law, or a refund if we bill you in error or terminate your account without cause.

Price changes. We will give you at least 30 days' notice by email before a price increase takes effect. If you do not agree, you can cancel before the new price applies.

Taxes and broker fees. Our fees do not include sales taxes, which we will add where required, or any commissions and fees charged by your brokers.

6A. Beta Program

During the beta period, the Service is offered free of charge. We do not collect payment information during the beta, and you will not be charged unless you choose to subscribe to a paid plan.

Real orders, real money. "Beta" refers to the software's stage of development, not to a test or simulated environment. Orders you send through the Service during the beta are real orders placed in your live brokerage accounts, and Sections 2 through 5 apply in full.

Beta limitations. Beta features may contain bugs, may change or be removed, and may be less reliable than a finished product. We may limit the number of users or connected accounts, reset non-trading data such as settings or display preferences, or end the beta at any time. Records of orders you sent are not deleted by a beta reset.

Moving to paid plans. We will give you at least 14 days' notice by email before paid plans begin, including the price. When the beta ends, you may subscribe under Section 6 or stop using the Service. If you do not subscribe, your access to paid features will end and the app will stop sending orders. Because connection details live on your device, you should also revoke SlugSplit's access from each broker.

Pricing. Unless we state otherwise in writing, participation in the beta does not guarantee any future price, discount, or feature.

Feedback. We may ask beta users for feedback. Section 8 applies to anything you send us.

7. Acceptable Use

You agree not to:

  • Connect accounts you do not own or lack legal authority to trade, or use the Service to trade for others for compensation.
  • Use the Service for market manipulation, wash trading, spoofing, or any activity that violates securities laws.
  • Open or use brokerage accounts with false or borrowed identity information.
  • Build scripts, bots, or other tools that trigger SlugSplit orders without your direct action each time.
  • Reverse engineer, scrape, resell, or sublicense the Service, or interfere with its security or operation.
  • Share your account or resell access.

We may suspend access while we investigate a suspected violation.

8. Intellectual property and license

SlugSplit and its software, design, and content belong to us or our licensors. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service under these Terms. All rights not expressly granted are reserved.

Feedback. If you send us ideas or suggestions, we may use them without obligation to you.

Your data. You own your account data. You give us permission to use it to operate, secure, and improve the Service, as described in our Privacy Policy. We do not sell your personal or trading data.

9. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law or a broker, or if your use creates risk for us or other users. Where practical, we will give notice and a chance to fix the issue. If we terminate without cause, we will refund the unused portion of your prepaid fees.

On termination, your license ends and the app will stop sending orders. You can delete stored connection details by uninstalling SlugSplit and revoke its access from each broker. Sections 3, 5, and 8 through 14 survive.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DATA SHOWN WILL BE ACCURATE OR TIMELY, OR THAT ORDERS WILL REACH ANY BROKER.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SLUGSPLIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR TRADING LOSSES, LOST PROFITS, MISSED OPPORTUNITIES, OR ACCOUNT RESTRICTIONS, HOWEVER CAUSED.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100. These limits do not apply to liability that cannot be limited by law, such as for fraud or willful misconduct.

12. Indemnification

You agree to defend and indemnify SlugSplit and its owners, employees, and agents against third-party claims, losses, and reasonable legal fees arising from your trades, your breach of these Terms, your violation of law or a broker's terms, or your connection of accounts you were not authorized to use. We will notify you of any such claim and may participate in its defense with counsel of our choice.

13. Arbitration and class-action waiver

Informal resolution first. Before filing a claim, email support@slugsplit.com with a description of the dispute. We will both try in good faith to resolve it within 30 days.

Binding arbitration. If we cannot resolve it, any dispute relating to the Service or these Terms will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in San Jose, California or by video. Either party may instead bring an individual claim in small claims court.

No class actions. You and SlugSplit may bring claims only individually, not as a plaintiff or class member in any class or representative action.

Opt out. You may opt out of this section by emailing support@slugsplit.com within 30 days of first accepting these Terms.

14. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any claim not subject to arbitration will be brought in the state or federal courts located in Santa Clara County, California.

15. Changes to these Terms

We may update these Terms from time to time. For material changes, we will email you or notify you in the Service at least 14 days before they take effect. Continued use after that date means you accept the updated Terms. If you do not agree, you may cancel before the change takes effect.

16. General

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. These Terms and our Privacy Policy are the entire agreement between you and SlugSplit about the Service.
